MEMORANDUM OF UNDERSTANDING (MOU)

Nokia Siemens Networks Private Limited

This MoU is made and entered into on this the 20th day of October 2008 Between , Institute of Technology and Management, Gurgaon, an educational institution having its primary office at HUDA, Sector 23A, Gurgaon – 122017 (hereinafter referred to as “ITM”), which expression, unless repugnant to the context or meaning hereof, shall include its successors, administrators or permitted assignees; and at present represented by its Principal or his representative.

M/s Nokia Siemens Networks Private Limited, a company having its registered office at 2nd Floor Commercial Plaza Radisson Complex, National Highway No. 8, Mahipalpur, New Delhi – 110037(hereinafter referred to as Nokia Siemens Networks Private Limited) which expression, unless repugnant to the context or meaning hereof, shall include its subsidiaries, associated companies, or assigned agent and partners and at present represented by its Chairman & Managing Director or his representative.

BACKGROUND

This is further to the discussions Nokia Siemens Networks Private Limited has had with ITM regarding association with the Institution and offering monetary help by way of scholarships to its deserving students belonging particularly to socially and financially backward classes. As communicated to ITM, Nokia Siemens Networks Private Limited wishes to make an impact on society by collaborating with ITM in a way that it can support a) Non Research and Development collaboration, b) Can participate in Recruitment activities, c) Support student development exercise of ITM As a part of Corporate Social Responsibility. Towards this end Nokia Siemens Networks Private Limited wishes to establish in particular knowledge sharing , and devoting more working time and financial support to the eligible students of ITM. Towards achieving this target ITM and Nokia Siemens Networks Private Limited wish to join causes for ensuring an effective and sustainable scholarship programme.

SCOPE OF THE COOPERATION

The following are activities that can be implemented under the cooperation contemplated under this MOU:

1. Inputs from Nokia Siemens Networks Private Limited once in an academic year with content of latest development in telecommunication technology and telecommunication industry.

2. Enrichment of one or several academic courses with examples and discussion on the technology that are being used in the present telecommunication industry.

3. Utilization of testbed facility in Nokia Siemens Networks Private Limited for certain course experiment, visit by lecturers, or final project/papers.

4. On campus recruitment in ITM to select Nokia Siemens Networks Private Limited candidate for employment, if any and found suitable as per selection criteria

5. Scholarship program for selected students. The scholarship amount will be disbursed directly to the selected candidate. The scholarship does not mean that any preference will be given to these students with regard to employment opportunities with Nokia Siemens Networks Private Limited.
